These Terms govern use of the public Site only. Commercial transactions between Bridgeway and counterparties are governed by separately executed sales agreements — not by this page.

Section 1

Acceptance of Terms

These Terms of Use (the “Terms”) govern your access to and use of bridgewaymaterials.com(the “Site”), operated by Bridgeway Materials LLC(“Bridgeway”, “we”, “us”, or “our”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

Section 2

Purpose of the Site

The Site provides general information about Bridgeway and our services to industrial procurement professionals. Nothing on the Site constitutes a binding offer to sell, a guarantee of price or availability, or investment, legal, tax, or technical advice. All commercial transactions are governed by separately executed sales agreements (e.g., per-shipment sales contracts or master purchase agreements). The Site is informational only.

Section 3

Requests for Quotation

Submitting a Request for Quotation (RFQ) through the Site or by email or phone does not create a contract for sale, reserve product or pricing, or commit either party to a transaction. Any binding commitment requires a written sales agreement signed by both parties. Quotations we provide are non-binding indications subject to confirmation, credit review, counterparty due diligence (OFAC screening, KYC), and document preparation.

Intellectual Property

All content on the Site — including text, graphics, logos, the Bridgeway wordmark, photographs, page layouts, 3D visualizations, and source code — is owned by Bridgeway Materials LLC or licensed to us and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may view, download for personal reference, and print Site content for your internal business evaluation purposes. You may not:

  • Reproduce, republish, redistribute, or commercially exploit Site content without our prior written permission
  • Use Bridgeway marks, logos, or branding in your own materials without a signed trademark license
  • Scrape, crawl, or harvest the Site by automated means in a way that exceeds normal browsing or that conflicts with our robots.txt
  • Reverse engineer, decompile, or attempt to extract source code or proprietary algorithms

Section 5

Permitted Use

You agree to use the Site only for lawful business purposes and in compliance with these Terms and applicable law. You will not:

  • Submit false, misleading, or fraudulent information through the RFQ form or any other Site channel
  • Use the Site to transmit malware, viruses, or other malicious code
  • Interfere with or disrupt the Site, our infrastructure, or other users
  • Attempt to gain unauthorized access to any portion of the Site, accounts, computer systems, or networks
  • Use the Site to harass, abuse, defame, or harm another party
  • Use the Site in violation of U.S. export controls, sanctions (including OFAC programs), or trade restrictions

Third-Party Links and Content

The Site may contain links to third-party websites, social-media profiles, or industry references. We provide these links for convenience only. We do not endorse, monitor, or control third-party content and we are not responsible for the practices, policies, or content of any third-party site. Following such links is at your own risk.

Section 7

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PRODUCT SPECIFICATIONS, PRICE INDICATIONS, AND COMPLIANCE STATEMENTS ON THE SITE ARE INFORMATIONAL AND DO NOT CONSTITUTE WARRANTIES OF FUTURE SHIPMENTS, WHICH ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE SALES AGREEMENT.

Section 8

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGEWAY AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST BUSINESS, OR LOST DATA) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100.00). LIABILITY FOR COMMERCIAL TRANSACTIONS IS GOVERNED EXCLUSIVELY BY THE APPLICABLE SALES AGREEMENT, NOT BY THESE SITE TERMS.

Section 9

Indemnification

You agree to defend, indemnify, and hold harmless Bridgeway and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

Section 10

Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction and venue in those courts. Commercial disputes arising out of a sales agreement are governed by the dispute-resolution clause in that agreement, not by this section.

Section 11

Changes to These Terms

We may revise these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be posted on the Site at least 30 days before taking effect. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.

Section 12

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver. These Terms, together with the Privacy Policy and any signed sales agreement between us, constitute the entire agreement between you and Bridgeway regarding the Site.
